GB Group is pleased to announce that on August 1, 2008 has acquired the 77 % of the TMS share capital and the 100% of TMS Overseas. GB Group is one of the major manufacturer and distributor of spare parts in the sector of agriculture and industry. GB Group has realized a consolidated turnover of over EUR 200 million in 2007. The group is active in many countries and operates via its subsidiaries in Italy, the USA, United Kingdom and South Africa. Thanks to this operation, GB Group will reach a turnover of almost US $ 500 million by the end of 2008.
TMS is specialized in the worldwide distribution of spare parts for building and civil engineering materials and for trucks. Present in over 40 countries thanks to its agencies' network of and its subsidiaries in the USA, France, Brasil and Spain, TMS group has realized a consolidated turnover of EUR 57 million in 2007.
TMS and GB Group are active in the same sector and offer many complementarities: thanks to a strong commercial penetration in Center Africa, Russia and other countries TMS's association with GB will ends up on a perfect integration between the 2 companies.
TMS's value has been estimated about EUR 50 million: GB's initial investment was around EUR 21.5 million, and the entire operation has been settled thanks to a funds granted by a pool of italian banks.
The sale has been realised at a provisional price of EUR 18.02 per share, which will still be subject to certain adjustments, in particular depending on the operating results of 2008.
The previous controlling shareholders keeps a participation of 15% in the share capital of TMS and the management team will remain in function after the transaction.

Le Groupe Gb a acheté Equipment Spare Parts (Afrique) ("ESP"), distributeur leader dans les pièces de rechange, pour environ 10 millions de U$D en espèces.
ESP c'est le fournisseur leader dans l'Afrique du Sud en ce qui concerne les pièces de rechange de machines industrielles et de terrassement, avec une large gamme de produits y compris le chenillard et les mélanges.
ESP se compose de 3 divisions, c'est-à-dire AMT, la division ESP (y compris TSP) et la division GET et opère par l'entremise de 13 filiales qui couvrent tout le marché de l'Afrique du Sud.
ESP fait un chiffre d'affaires à l'actif de 30 millions de USD et engage plus de 250 personnes.
Le Groupe GB par le biais de l'acquisition de ESP veut réaliser une plate-forme compétitive pour la distribution de ses produits dans le marché de l'Afrique du Sud et dans les territoires limitrophes.
La direction de ESP a conservé une quote-part minoritaire dans la société et a maintenu les positions et les responsabilités précédant cette acquisition.
Après avoir achevé avec succès sa sixième acquisition, en 2007 le Groupe GB se fixe le but de réaliser un chiffre d'affaires consolidé d'environ 300 millions de USD.

GB Group a mené à termes avec succès l'acquisition de BEPCO Group, la cinquième société qui vient s'ajouter au groupe modénais. BEPCO siège en Angleterre et est spécialisé dans la distribution de pièces détachées pour tracteurs agricoles multi-marques dans le service après-vente. En 2006, son chiffre d'affaires a atteint 50 millions d'euros et ses sociétés sont actives en France, Belgique, Allemagne, Hollande, Espagne, Afrique du Sud et Australie. Cette nouvelle acquisition, dans la lignée du « développement normal » du core business de l'entreprise permettra à GB Group d'atteindre un chiffre d'affaires de plus de 260 millions de dollars pour l'année 2007.
